Terms of service

These terms govern the use of NamaCor, a construction-management software offered by Namaca Services Inc. ("Namaca", "we"). By creating a company in NamaCor, starting a trial or paying for a plan, the client company ("you") accepts these terms. NamaCor is offered to businesses only, not to consumers. The French version of these terms prevails; this English version is provided for reference.

1. The service

NamaCor lets you prepare quotes, change orders and invoices, track costs and hours, schedule job sites and sync this data with Xero. The features available depend on your plan, as described on the Pricing page. We improve NamaCor regularly; we may add, change or remove features, without materially reducing what your plan includes during a paid period.

2. Free trial

The trial lasts 30 days, with no credit card. At the end of the trial, access is suspended until you choose a plan. If you do not choose a plan, trial data may be deleted 90 days after the trial ends.

3. Plans, prices and billing

• Prices are in Canadian dollars; GST and QST are added.
• Monthly billing: payable at the start of each month. Annual billing: payable in advance for twelve months.
• Subscriptions renew automatically for a period of the same length unless cancelled (section 9).
• Extra office users are added to the next invoice.
• We may change our prices with at least 60 days' written notice. The price of an annual subscription does not change before its renewal.
• If a payment remains unpaid 15 days after a notice, we may suspend access until payment. Your data is not deleted during a suspension.

4. Users

• Office users: people who run the company in NamaCor (clients, quotes, costs, invoices, approvals). Their number depends on the plan.
• Field crew: your employees and subcontractors who use the crew app (clock-in, hours, schedule, daily log) for your projects. It is unlimited on every plan.
• Clients viewing the client portal and suppliers replying to a bid request are not counted.
• Each account is personal. You are responsible for the people you invite and for what they do in your NamaCor company.

5. Automatic bill reading and fair use

Automatic reading of supplier bills is included in every plan, under fair use for a construction company of your size. If your use clearly exceeds that volume, we will contact you. We may then set a monthly limit or offer a paid option, with at least 30 days' notice. Nothing will be charged retroactively.

Automatic reading is an aid: check amounts, taxes and cost codes before approving a bill or sending it to Xero.

6. Beta features

Some features may be offered in beta, for example a conversational assistant. They are provided as is, may change or be withdrawn, and may become paid after the beta period. We will notify you before a beta feature you use becomes paid.

7. Xero and other services

Syncing with Xero requires your own Xero subscription, governed by Xero's terms. NamaCor is not responsible for outages, changes or errors specific to Xero or other third-party services. Your accounting entries stay in Xero and do not depend on NamaCor.

8. Your data

• Your data belongs to you. We use it only to provide, secure and improve NamaCor for you, and we do not sell it.
• The database and files are stored in Canada. Some providers process data outside Canada, as described on the Security page.
• Personal information is handled under Quebec's Law 25 and PIPEDA. See the Privacy page.
• On request, we export your project data during the subscription and up to 30 days after it ends. It may then be deleted after 90 days.

9. Cancellation

• Monthly: you may cancel at any time; cancellation takes effect at the end of the paid month.
• Annual: you may cancel the renewal up to 30 days before the end of the period. Amounts already paid for the current period are not refunded.
• We may suspend or close an account that breaches these terms, compromises the security of the service or uses it unlawfully, after notice where possible.

10. Acceptable use

You agree not to use NamaCor for unlawful activities, not to attempt to access another company's data, not to overload or bypass the service's security measures and not to resell access to NamaCor without a written agreement.

11. Availability and support

We make reasonable efforts to keep NamaCor available and to answer support requests on business days. Planned or unplanned interruptions may occur. No guaranteed service level applies unless agreed in writing (Custom plan).

12. Liability

NamaCor is a management tool; you remain responsible for your quotes, contracts, invoices, tax filings and business decisions. To the extent permitted by law, Namaca's total liability is limited to the amounts you paid for NamaCor in the 12 months before the event, and Namaca is not liable for indirect damages, such as lost profits or lost data.

13. Changes to these terms

We may change these terms. We notify you by email at least 30 days before a material change applies. Continuing to use NamaCor after that date means you accept it.

14. Governing law and language

These terms are governed by the laws of Quebec and Canada. Any dispute falls under the courts of the judicial district of Montréal. The French version of these terms prevails.
